These Terms of Service ("Terms") govern your access to and use of Aspired AI ("Service"), operated by Aspired AI LLC ("Company," "we," "us," or "our"), a Georgia limited liability company. By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Aspired AI at aspired-ai.com, you represent and warrant that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

Aspired AI provides access to specialized AI agents designed to assist small business owners with tasks including content writing, SEO auditing, outreach, proposal writing, project management, client communications, automation planning, and social media management. The Service is provided on a subscription basis with individual agent pricing and bundle options.

3. Accounts and Registration

You must create an account to access most features of the Service. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Notify us immediately of any unauthorized account access
Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used fraudulently or abusively.

4. Subscriptions and Billing

4.1 Pricing

Aspired AI charges on a per-agent subscription basis. Current pricing is displayed on our pricing page and is subject to change with 30 days notice to existing subscribers.

4.2 Billing

Subscriptions are billed monthly or annually depending on your selected plan. Your subscription will automatically renew at the end of each billing period at the same rate unless you cancel before the renewal date. You will receive a reminder email before each renewal. Billing is processed through Stripe, a third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Free Trial

New users receive a limited number of free messages to trial the Service. The number of trial messages is set at our discretion and may change at any time.

4.4 Cancellation

You may cancel your subscription at any time from your billing settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods.

4.5 Refunds

All sales are final. We do not offer refunds except where required by applicable law. If you believe you were charged in error, contact us at hello@aspired-ai.com within 30 days of the charge.

5. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Violate any applicable laws or regulations
Infringe on intellectual property rights of any third party
Distribute spam, malware, or malicious content
Attempt to reverse engineer, decompile, or extract the underlying AI models or system prompts
Resell or sublicense access to the Service without written permission
Use the Service to train competing AI models
Circumvent usage limits or access controls

We reserve the right to suspend or terminate your access for any violation of these acceptable use policies.

6. AI-Generated Content

6.1 Ownership

Subject to these Terms and your subscription being current, you own the content generated through your use of the Service.

6.2 Accuracy

AI-generated content may contain errors, inaccuracies, or outdated information. You are solely responsible for reviewing, editing, and verifying all content before use. We make no representations or warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

6.3 No Professional Advice

Content generated by Aspired AI does not constitute legal, financial, medical, or other professional advice. Always consult a qualified professional for matters requiring professional judgment.

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, branding, agent names, owl mascot characters, and all related materials, are the exclusive property of Aspired AI LLC and are protected by applicable intellectual property laws.

7.2 Your Content

You retain ownership of content you provide to the Service, including business information, prompts, and Brain entries. By submitting content, you grant us a limited license to use that content solely to provide the Service to you.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without compensation or attribution to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payment processing), SendGrid (email delivery), Google (OAuth authentication), and social media platforms. Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the practices or content of third-party services. Section 10 below sets out additional terms specific to the LinkedIn integration.

10. Third-Party Integrations and LinkedIn-Specific Terms

10.1 Customer Representations

When using Aspired AI to connect a LinkedIn account, you represent and warrant that:

You are an administrator of the LinkedIn Pages and Ad Accounts you connect.
You will comply with LinkedIn's User Agreement, Professional Community Policies, Advertising Guidelines, and any other applicable LinkedIn policies.
You will not use Aspired AI to violate any LinkedIn policy, including but not limited to: posting prohibited content, automated outreach to members, scraping, audience resale, or recruiting / sales prospecting using member data.

10.2 Suspension and Termination of LinkedIn Features

Aspired AI may suspend or terminate your access to LinkedIn integration features (or any data sourced from LinkedIn) if:

LinkedIn suspends or terminates your LinkedIn account or Ad Account.
LinkedIn directs us (in any form, including email) to suspend or terminate your access.
We determine in good faith that you are using the integration in violation of LinkedIn's terms.

10.3 Customer Content Submitted to LinkedIn

Customer data submitted to LinkedIn through Aspired AI (post content, event metadata) is governed by LinkedIn's terms once submitted; you are responsible for the accuracy and lawfulness of that content.

10.4 No Affiliation

Aspired AI is not affiliated with, endorsed by, or sponsored by LinkedIn or Microsoft. References to LinkedIn and to LinkedIn Pages, Ad Accounts, Events, and the Ad Library are solely to describe interoperability features.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASPIRED AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Aspired AI LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding individual arbitration in Georgia, except that either party may seek injunctive relief in any court of competent jurisdiction.

CLASS ACTION WAIVER: You and Aspired AI LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

ARBITRATION OPT-OUT: You may opt out of the arbitration agreement by sending a written notice to legal@aspired-ai.com within 30 days of first accepting these Terms. Your notice must include your full name, email address, and a statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

16. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Aspired AI LLC respects intellectual property rights. If you believe that content on the Service infringes your copyright, please send a written notice to our designated copyright agent at legal@aspired-ai.com with the subject line "DMCA Takedown Request" including:

A description of the copyrighted work you claim has been infringed
A description of where the allegedly infringing content is located on the Service
Your contact information (name, address, phone number, email)
A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
Your electronic or physical signature

We will respond to valid DMCA notices within 14 business days.
